Font Software End User License Agreement

 

The ‘Huronia’ typeface (Font Software) and designs contained therein is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Font Software is licensed, not sold. This license is only valid when the licensee has been listed below. Please retain copies of this agreement.

Whereas ‘Tiro Typeworks’ is represented by one or both of the following individuals:
William Ross Mills of British Columbia, Canada. dba Tiro Typeworks and
John Hudson of British Columbia, Canada. dba Tiro Typeworks

 

Subject to the foregoing, Tiro Typeworks grants
(hereafter the ‘licensee’) :

a perpetual non-exclusive license to use the Huronia Font Software with the following terms and conditions:

1. Acceptance of Terms
Installation and use of this Font Software constitutes acceptance of the terms of this licence agreement.

1.1 You acknowledge that the Font Software is the intellectual property of Tiro Typeworks and/or designers represented by Tiro Typeworks and contains copyrighted material authored by Tiro Typeworks and/or designers represented by Tiro Typeworks. The term Font Software shall also include any updates, upgrades, additions, modified versions, and development copies of the Font Software licensed to you by Tiro Typeworks. The media itself is and shall remain the property of Tiro Typeworks. Expanded versions, subsets or other derivatives of this design may also exist under other names and be distributed by Tiro Typeworks or other licensed Distributors.

 

2. Grant of License.
This document grants you the following rights:

2.1 Installation and Use.
When you purchase a license, you are paying for a set number of users or physical devices on which the Font Software may be installed or accessed. If the number of users or devices increases in the future, upgrade licenses must be purchased to reflect the current number of users. The Font Software may not be used by more than the number users on a network stipulated by and associated with the purchase price. Extended licenses may also be purchased, in which case a new license agreement will be drafted to reflect the new conditions.
For the sole purpose of data backup, additional backup copies of the Font Software may be made.

2.2 Fair Use.
You may use the Font Software in most personal and commercial applications. However, under this license, you may not use the font software:

a) to manufacture products wherein the designs contained in the Font Software comprises the sole or major design element, including but not limited to T-shirts, jewellery, fridge magnets, greeting cards, ceramics, posters for sale, etc.

If you wish to use the Font Software for any of the above, please contact us at licensing@tiro.nu for additional licensing or royalty fees. If in doubt, ask.

 

2.3 Modification.
You are not allowed to without written approval granted by Tiro Typeworks:

a) modify and/or recompile the Font Software: this includes generating or re-compiling the Font Software from any font design program. (where a ‘font design’ program is any piece of software capable of reading and re-compiling any standard font format),

 

b) adapt modules, produce sub-sets or supersets or alter any internal font data thereof for your own developments,

 

c) put the software solutions embodied in the Font Software to any commercial use other than operating your own computer(s) or output device(s), or

 

d) merge, ship or embed the Font Software with other software programs.

We acknowledge that no typeface can solve all problems and accept that some clients may wish to have modifications made to suit their particular needs. We would be happy to help with this and no one knows better the typefaces you are licensing, so please ask first. Specific maintainance licenses may be available for some versions of the Font Software. Contact licensing@tiro.nu for details.

 

Portable Documents and Web-font formats.
You may ‘embed’ the Font Software within PostScript-Language files, PDF files or Flash files for distribution, viewing, and imaging to other parties. All necessary steps should be applied to prevent the Font Software from being extracted from said files by use of embedding securities. This license does not allow for the Font Software to be used as a web-font, where a 'web-font' may be one or more of the following formats: EOT, WOFF, TrueDoc or distributed to end users by third parties which serve web-font formats to browsers.

 

3. Disclaimer and Limited Warranty.
As allowed by law, the software and accompanying written
materials are provided ‘as-is’ without warranty of any kind, expressed or implied, and Tiro Typeworks and associations or companies distributing the font software disclaims the warranties of fitness for a particular purpose and merchantability. In addition, Tiro Typeworks and associations or companies distributing the font software does not make any representations regarding the use or the results of the use of the software or the written materials in terms of correctness, accuracy, reliability, currentness or otherwise. The entire risk as a result of the performance of the software is assumed by the user.

 

3.1 The licensee is responsible for obtaining necessary information regarding general font format compatibility of the Font Software with their computer systems and software operating on those systems prior to purchasing a license to use the Font Software, or accepts all responsibility for insuring such compatibility after a license has been purchased.

 

4. Distribution.
4.1 The licensee is obligated to undertake reasonable steps to prevent unauthorized access to the Font Software and to any copies of same. Any copies of the Font Software which are not authorized under this
agreement found to originate from the licensee or their employees may cause this agreement to be violated.

 

4.2 If the licensee grants employees or representatives access to the Font Software, the licensee has to specifically inform them of the content and conditions of the license provisions for the relevant Font Software and put said employees or representatives under the obligation of compliance with those provisions and conditions.


4.3 Only for the purpose of outputting particular files may you take a copy of the font(s) you have used for such files to a commercial printer or other service bureau. The Font Software may be installed only for the purposes of output, and must be removed from any computers immediately after. Such removal is the responsibility of the Licensee of the Font Software. If you can not confirm removal of the Font Software by the service bureau it may not be installed by them.

 

4.4 You may not rent, lease, sell, sub-licence, assign or transfer your rights in the Font Software, or authorize any portion of the Font Software to be copied onto another individual or legal entity’s computer
except as may be permitted herein.

 

4.5 Without limiting the generality of the foregoing, you agree that you will not distribute or disseminate all or any part of the Font Software through any on-line service and you further agree that any such intentional distribution shall constitute a theft by you of a valuable property of Tiro Typeworks and/or its suppliers.

A Distribution Agreement must be purchased to in any form re-distribute the Font Software.

 

5. Termination.
Tiro Typeworks and its Licensed Distributors has the right to terminate your license immediately if you fail to comply with any term of this Agreement or if it is deemed that the use of the Font Software is inappropriate.

Upon termination, you must destroy the original and any and all copies of the Font Software. The Font Software remains the property of Tiro Typeworks.

 

6. Governing Law.
This agreement is governed by the laws of the Canada. In the event that any provision of this agreement is held to be illegal or otherwise unenforceable, such provision shall be deemed to have been deleted from this agreement, while the remaining provisions of this agreement shall be unaffected and shall continue in full force and effect.
